1. Purpose of the Gallery

The Company developed an online drop-based gallery accessible here (the “Gallery”) allowing collectors (the “Collectors”) to buy edition(s) of NFTs (the “NFTs”) linked to digital images or animated artworks (the “Artworks”) on the Ethereum blockchain.

The Artworks are created by various digital artists (the “Artists”), which may be represented by their agent (the “Agent”).

For each NFT, the Company creates its own custom-built smart contract specifying in particular the terms of sale of the edition(s) of such NFT by the Artists and if applicable Agents (the “Smart contract”). The Smart contract is then deployed on the Ethereum blockchain.

The Collector, the Artist and the Agent are hereinafter collectively referred to as the “Users”.

3. Contractual documents

| Functions of the general terms and conditions | The general terms and conditions of the Company (the « Terms and Conditions ») constitute the document governing the contractual relationship between the Company, the Artists (and if so the Agents) and the Collectors, and define:

• the terms and conditions of purchase of editions of NFTs by the Collectors,
• the respective obligations of the parties. | | --- | --- | | Location of the Terms and Conditions | The User can find them by a direct link in the footer of the Gallery. | | Terms of acceptance of the Terms and Conditions | The User accepts the Terms and Conditions by clicking the “Confirm” button in the registration form. If the Collector does not accept all of the Terms and Conditions, they cannot place bids or buy editions of NFTs on the Gallery. They may be supplemented by specific terms, which, in case of contradiction, prevail over these Terms and Conditions. |

1. Conditions of access to the Gallery

The User (Collector, Artist or Agent) may be either:

• a natural person with full legal capacity, or if not, the User is at least 13 years old and has obtained the agreement of his/her legal representative, and he/she undertakes to provide the Company with the email address of his/her representative so that it can contact him/her.
• or a legal entity acting through a natural person who has the power or authority to enter into a contract in the name of and on behalf of the User.
